Terms of Service

The rules of engagement for using socialexec.co and participating in The Social Executive Network.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of socialexec.co (the “Site”) and your participation in the community, events, and services offered by The Social Executive Network (“SEN,” “we,” “us,” or “our”).

By accessing the Site, submitting a form, attending an experience, or accepting a community invitation, you agree to be bound by these Terms. If you do not agree, please do not use the Site or participate in our community.

2. Description of Services

SEN is a curated leadership community connecting executives across industries. Our services include:

  • The Site: informational pages about the community, upcoming experiences, partnership opportunities, and a contact form
  • Experiences: executive gatherings, roundtables, retreats, dinners, and salons, hosted by SEN or its partners
  • Introductions and curation: relationship brokering between members where we believe it creates mutual value
  • Community updates:occasional communications to members about what's upcoming and what's worth their attention

The community is invitation-based. Admission is discretionary. Membership is free today; we reserve the right to introduce paid tiers in the future, subject to separate terms at that time.

3. Eligibility and Representations

By using the Site or participating in SEN, you represent that:

  • You are at least 18 years old
  • The information you provide is accurate and up to date
  • You will not use the Site or our services for any unlawful, fraudulent, or malicious purpose
  • You have obtained any necessary consent before sharing information about another person with us
  • You are authorized to represent any company or organization on whose behalf you engage with us

4. Membership and Participation

4.1 Invitations

Membership in SEN is by invitation. We review every application and reserve the right to accept, decline, or revoke membership at our discretion. Decisions are informed by community fit and the mutual value a member brings and receives.

4.2 Experiences

Attendance at SEN experiences may require RSVP, waitlisting, capacity confirmation, or invitation, and is subject to availability. By attending, you agree to follow the conduct expectations in section 5 and to respect any photo, recording, or confidentiality practices specific to the event.

4.3 Chatham House Rule (default)

Unless stated otherwise at a specific experience, SEN gatherings operate under the Chatham House Rule: participants are free to use the information received, but neither the identity nor the affiliation of the speaker(s), nor that of any other participant, may be revealed. This creates the conditions for candid conversation.

5. User Conduct

You agree not to:

  • Harass, intimidate, or discriminate against any community member, guest, partner, or staff
  • Use information about other members for unsolicited sales outreach, spam, or scraping
  • Impersonate any person or organization or misrepresent your affiliation
  • Upload or transmit malware, viruses, or any code that could harm the Site or its users
  • Attempt to gain unauthorized access to our systems or circumvent security measures
  • Record or publish private conversations, chat messages, or experience content without the explicit consent of all participants involved
  • Use our trademarks, logos, or brand in a way that suggests SEN endorses your product or service without our written permission
  • Scrape, mass-download, or reverse-engineer the Site or any part of our community infrastructure

6. Intellectual Property Rights

6.1 Our content

The Site, including text, design, branding, logos, photographs, illustrations, typography, and underlying code, is owned by SEN or licensed to us. You may not reproduce, distribute, or create derivative works without our written permission, except for ordinary personal, non-commercial reading and sharing of public pages.

6.2 Your content

You retain ownership of content you submit to us — inquiry messages, testimonials, photos, and any materials you share through the Site or during an experience. By submitting such content, you grant SEN a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display it in the course of operating the community and promoting SEN, subject to any specific publication permissions you agree to separately (for example, when consenting to a published testimonial).

6.3 Feedback

If you send us suggestions or ideas for improving SEN, you grant us an unrestricted right to use them without compensation or attribution.

7. Confidentiality

Information shared at an SEN experience, in member communications, or in curated introductions may be sensitive. Members and guests are expected to treat such information with discretion. Specific confidentiality obligations may apply to certain experiences (e.g., under the Chatham House Rule in section 4.3). Breach of confidentiality may result in revocation of membership.

8. Third-Party Services

The Site and our operations integrate with third-party services (see our Privacy Policy for the current list). When you click links to third-party sites (such as LinkedIn or Luma), those sites operate under their own terms and privacy policies. SEN is not responsible for their availability, functionality, or data practices.

If an experience is co-hosted with a partner, the partner's rules or venue policies may also apply. We will make any such specific rules available to you in advance.

9. Disclaimers

THE SITE, THE COMMUNITY, AND ALL EXPERIENCES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SEN MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Site will be uninterrupted or error-free, that any specific introduction or event will occur, or that participation in SEN will produce any particular business, professional, or personal outcome. Your participation is voluntary and at your own discretion.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEN AND ITS OFFICERS, FOUNDERS, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SITE OR YOUR PARTICIPATION IN THE COMMUNITY.

Our aggregate liability to you for any claim arising under these Terms is limited to the amount you have paid SEN in the twelve months preceding the claim (if any); otherwise, to one hundred US dollars ($100).

11. Indemnification

You agree to indemnify and hold SEN, its officers, founders, partners, and affiliates harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of applicable law, your infringement of a third party's rights, or your conduct at an SEN experience.

12. Term and Termination

These Terms apply as long as you use the Site or participate in the community. We may suspend or revoke your access, membership, or invitation at any time, for any reason — most commonly for conduct inconsistent with section 5, for breach of confidentiality, or for misrepresentation.

Sections that by their nature should survive termination — such as intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any confidentiality obligations — will survive.

13. Force Majeure

Neither party is responsible for delay or failure to perform obligations caused by circumstances beyond reasonable control, including acts of God, natural disasters, pandemics, labor disputes, government action, network or internet failures, or other events of force majeure. If an experience is cancelled, postponed, or moved because of such circumstances, we will communicate the change as promptly as reasonable.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising under these Terms will first be addressed through good-faith discussion between the parties. If the dispute cannot be resolved within 30 days, it will be resolved by confidential binding arbitration administered under the rules of the American Arbitration Association, before a single arbitrator, in Delaware, USA. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. We will post the updated Terms here with a new “Last updated” date. For material changes that affect your rights, we will provide additional notice by email when we have a way to reach you.

Your continued use of the Site or participation in the community after changes take effect constitutes acceptance of the updated Terms. If you do not agree, please discontinue use and request deletion of your information as described in our Privacy Policy.

16. Miscellaneous

16.1 Entire agreement

These Terms, together with our Privacy Policy and any written agreement covering a specific engagement or sponsorship, constitute the entire agreement between you and SEN with respect to the subject matter.

16.2 Severability

If any provision of these Terms is held unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

16.3 No waiver

Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our business.
